Investors that invest in a particular investment opportunity will be equity holders of a newly established Singapore-registered Special Purpose Vehicle ("SPV"). The SPV may be a limited partnership, a limited liability partnership or a legal entity (including a private limited company). The SPV invests into the Sponsor's (developer or property owner) project company that has 100% ownership of the title of the property. Investors sign an Investment Participation Agreement that sets out principally the Investment Term, Targeted Returns, and Investment Objective. Thus, investors will have clear legal ownership to the asset. No other assets within the platform will be co-mingled nor will the asset within the SPV be used to pledge as collateral for other assets.
