  • Why adopt the nominee arrangement?

    RealVantage implemented the Limited Partnership structure, otherwise known as the General Partner/Limited Partner (GPLP) structure, as an investment holding vehicle where investors are registered as passive Limited Partners in the Limited Partnership.

    According to the IRAS's (Inland Revenue Authority of Singapore) and the CPF (Central Provident Fund) Board's definitions, Limited Partners are regarded as Self-Employed Persons (SEP). This has different implications on our investors depending on their personal circumstances with employment or tax reporting.

    We have consulted with the MAS on this matter and a nominee arrangement was proposed to provide all our investors with a safe and consistent experience of investing with RealVantage.

  • What is the name of the nominee?

    The nominee's name is RV NT Pte. Ltd. which is a wholly owned subsidiary of R Vantage Pte. Ltd., the parent company of the RealVantage group of companies.

  • How does the nominee arrangement work?

    Investors sign the Limited Partnership Agreement (LPA) and a deed which nominates RV NT Pte. Ltd. to hold their participating interest in the investment. There is therefore no change in the beneficial ownership of the investment. The nominee simply holds investors' investment in their stead.

    Investors' economic rights and benefits to the investment remain unchanged.
